1. Acceptance of These Terms
These Terms of Use govern your access to and use of the Bear River Midstream website and any other website or online service operated byBear River Midstream that links to these Terms of Use, collectively, the “Site.”
The Site is operated by Bear River Midstream, LLC. References in these Terms to “Bear River,” “we,” “us,” or “our” refer to that entity and, where appropriate, its subsidiaries and affiliates. Each subsidiary and affiliate is a separate legal entity. The use of a collective name in these Terms is for convenience only and does not create joint liability among those entities or make one entity responsible for the obligations of another, except as expressly stated in a duly authorized written agreement.
By accessing or using the Site, you agree to these Terms of Use. If you access the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. Ifyou do not agree to these Terms, do not use the Site.
2. Scope of the Site
The Site provides general information about Bear River Midstream, its facilities, services, operations, leadership, news and related activities.
The Site may include links to a separate electronic bulletin board, informational postings, nomination system, scheduling system and other third-party services. Separate terms, procedures and regulatory requirements may apply to those services.
3. General Information Only
Content on the Site is provided for general informational purposes. It does not constitute:
- An offer, commitment or agreement to provide storage capacity or other services
- A nomination, scheduling instruction, bid, confirmation or operational notice
- An amendment or waiver of any contract, tariff, regulatory filing or operating requirement
- Legal, financial, tax, investment, engineering, operational or safety advice
- An offer to sell, or a solicitation of an offer to purchase, any security or financial instrument
Accessing the Site, submitting a form or communicating with Bear River Midstream through the Site does not create a customer, shipper, fiduciary, partnership, joint venture, agency or other commercial relationship.
Any commercial relationship with Bear River Midstream must be established through a separate written agreement executed by authorized representatives of the applicable parties.
4. Storage Services and Controlling Documents
Storage and related services provided by Bear River Midstream or its affiliates may be governed by executed service agreements, tariffs, statements of operating conditions, rate schedules, regulatory orders, regulatory filings, EBB procedures and other applicable operating documents, collectively the “Service Documents.”
If information on the Site conflicts with a Service Document, the applicable Service Document will control. Nothing published on the Site modifies, replaces, expands or waives any term of a Service Documentor any requirement imposed by an applicable governmental or regulatory authority.
Availability, capacity, deliverability, rates, operating conditions and other service information are subject to the applicable Service Documents and may change.
5. Electronic Bulletin Boards and Other Linked Services
The Site may contain links to electronic bulletin boards(EBB), informational posting systems, customer platforms, regulatory resourcesand websites operated by third parties.
Access to and use of an EBB or other separate platform maybe governed by its own terms, privacy practices, security requirements and applicable Service Documents. These Terms of Use do not modify Bear River Midstream’s obligations under applicable law, regulation or Service Documents.
Links to third-party websites are provided for convenience only. Bear River Midstream does not control and is not responsible for the content, security, availability or privacy practices of third-party websites. A link does not imply Bear River Midstream’s endorsement of the linked website, its operator or its products or services.
You access third-party websites at your own risk and subject to the terms governing those websites.
6. No Operational or Emergency Use
The Site and its general contact forms are not continuously monitored and must not be used to submit:
- Gas nominations or scheduling instructions
- Balancing or capacity-release instructions
- Time-sensitive operational communications
- Contractual notices
- Reports of leaks, odors, releases, incidents or emergencies
- Cybersecurity or physical-security alerts requiring immediate attention
Use the designated EBB, operating contacts, contractual notice procedures or emergency telephone numbers for those communications.
In an emergency, contact 911 and the appropriate facility orpipeline emergency number.
Maps, diagrams, photographs, capacity figures, facility descriptions and other technical information on the Site are illustrative and may be simplified. They must not be used for excavation, navigation, surveying, engineering, construction, field operations, emergency response or locating underground facilities.
7. Accuracy and Availability
Bear River Midstream seeks to provide useful and accurate information, but Site content may contain errors, omissions or information that is incomplete or no longer current.
To the fullest extent permitted by law, Bear River Midstream does not guarantee the accuracy, completeness, timeliness, reliability or availability of Site content. We may add, remove, revise, suspend or discontinue any part of the Site without notice.
This section applies only to the Site and does not limit any obligation Bear River Midstream may have under an applicable Service Document, law, regulation or regulatory order.
8. Forward-Looking Information
The Site may contain statements concerning future plans, projects, capacity, operations, market conditions, performance, growth opportunities or other future events.
These statements reflect current expectations and are subject to risks, uncertainties, changing circumstances, regulatory developments and other factors. Actual outcomes may differ from those expressed or anticipated. Bear River Midstream undertakes no obligation to revise or publicly update forward-looking information except as required by applicable law.
9. Intellectual Property
The Site and its contents, including text, photographs, graphics, illustrations, video, audio, maps, icons, software, page layouts, designs, trademarks, logos and other materials, are owned by Bear River Midstream, its affiliates, its licensors, or other content providers and are protected by applicable intellectual-property laws.
Subject to these Terms, Bear River Midstream grants you a limited, nonexclusive, nontransferable, revocable license to access the Site and to print or download a reasonable number of pages for your internal business or informational use.
Without prior written permission from Bear River Midstream, you may not:
- Reproduce, republish, distribute, sell, license or commercially exploit Site content
- Modify Site content or create derivative works from it
- Use Bear River Midstream’s names, trademarks, logos or branding
- Remove copyright, trademark or other proprietary notices
- Frame or display the Site within another website
- Suggest that Bear River Midstream sponsors, endorses or is affiliated with another person, company, product or service
No ownership interest in the Site or its content is transferred to you. All rights not expressly granted are reserved.
10. Permitted and Prohibited Uses
You may use the Site only for lawful purposes and in accordance with these Terms.
You may not use the Site to:
- Violate any applicable law, regulation, contractual obligation or third-party right
- Submit false, misleading, fraudulent, defamatory or unlawful information
- Impersonate Bear River Midstream, an employee, another user or any other person or entity
- Introduce malware, viruses, harmful code or other disruptive technology
- Attempt to gain unauthorized access to the Site, its servers, accounts, systems or connected networks
- Circumvent security measures or test system vulnerabilities without written authorization
- Interfere with the Site’s operation or another person’s use of the Site
- Systematically scrape, harvest, copy or extract Site content, except through conventional public search-engine indexing
- Use Site content in a manner that could create a false or misleading impression about Bear River Midstream or its services
11. Contact Forms and Other Submissions
When submitting information through the Site, you agree to provide information that is accurate, current and complete. You also represent that you have the right to provide that information.
Do not submit confidential, proprietary, commercially sensitive, export-controlled or legally privileged information through a general Site form. Unless Bear River Midstream has separately agreed in writing to confidentiality, an unsolicited submission will not create a confidential or fiduciary relationship.
Communications sent through the Site do not constitute formal contractual or regulatory notice.
If you provide comments or general feedback about the Site, Bear River Midstream may use that feedback without restriction or compensation, provided that our handling of personal information remains subject to our Privacy Policy.
12. Privacy
Bear River Midstream’s collection and use of personal information through the Site are described in its Privacy Policy.
By submitting a contact form, you authorize Bear River Midstream and its service providers to use the information you provide to respond to your request and administer the communication. Promotional or marketing communications will be sent only as permitted by applicable law and the preferences you provide.
Email and online forms may not be secure. Do not submit sensitive personal information, account credentials, financial information or operationally sensitive data through a general Site form.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
BEAR RIVER MIDSTREAM DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY AND AVAILABILITY.
Bear River Midstream does not warrant that the Site will be uninterrupted, error-free, secure, free from harmful code, or compatible withe very device or system. You are responsible for maintaining appropriate security, antivirus protection, backups and procedures for protecting your systems and information.
These disclaimers do not apply to warranties or obligations that cannot lawfully be excluded.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEAR RIVER MIDSTREAM, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:
- YOUR ACCESS TO OR USE OF THE SITE
- YOUR INABILITY TO ACCESS OR USE THE SITE
- YOUR RELIANCE ON SITE CONTENT
- ANY ERROR, INTERRUPTION, SECURITY INCIDENT, HARMFUL CODE OR LOSS OF DATA
- ANY THIRD-PARTY WEBSITE, SERVICE OR CONTENT LINKED FROM THE SITE
THIS EXCLUSION INCLUDES LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, USE OR DATA, REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF THE POSSIBILITY OF SUCH DAMAGES WAS FORESEEABLE.
These limitations apply only to claims arising from the Site. They do not alter any allocation of risk or liability contained in anapplicable Service Document.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless Bear River Midstream, its affiliates, and their respective directors, officers, employees, contractors, agents, licensors, service providers, successors and assigns from claims, damages, liabilities, judgments, losses, costs and reasonable attorneys’ fees arising from:
- Your violation of these Terms
- Your unlawful or unauthorized use of the Site
- Information or materials you submit through the Site
- Your infringement of another person’s rights
16. Suspension or Termination of Access
Bear River Midstream may suspend, restrict or terminate your access to all or part of the Site if we reasonably believe you have violated these Terms, created a security risk, interfered with the Site or used the Sit eunlawfully.
Termination does not affect provisions that, by their nature, should survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification and governing law.
17. Governing Law and Venue
These Terms and any dispute arising from the Site will be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
Any legal action arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in Harris County, Texas and each party consents to the personal jurisdiction and venue of those courts.
This section does not change the governing-law, venue, arbitration or dispute-resolution provisions of an applicable Service Document.
18. Changes to These Terms
Bear River Midstream may update these Terms from time to time. Changes become effective when the revised Terms are posted, unless a later date is stated.
The “Last Updated” date at the top of this page will indicate when the Terms were most recently revised. Where required by law, Bear River Midstream will provide additional notice of material changes.
Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.
19. Waiver and Severability
Bear River Midstream’s failure to enforce any provision of these Terms is not a waiver of that provision or any other right.
If a provision is determined to be invalid, illegal or unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.
20. Entire Agreement
These Terms constitute the entire agreement between you and Bear River Midstream concerning your use of the Site.
They do not supersede or modify any Service Document, confidentiality agreement, service agreement, tariff, statement of operating conditions, regulatory requirement or other written agreement between you and Bear River Midstream or one of its affiliates.
